These Terms & Conditions ("Terms") are a binding legal agreement between you ("User", "you") and Vintellis Technologies Pvt. Ltd., a company incorporated under the Companies Act, 2013, with its registered office at GC-147, Pocket P-6 NTPC, SAS Ltd, Greater Noida, Knowledge Park-1, Gautam Buddha Nagar - 201310, Uttar Pradesh ("Company", "we", "us", "our"), governing your access to and use of the HisaabSahi mobile application, available on the Google Play Store (the "App").
By downloading, installing, registering for, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. You further represent and warrant that you (a) are at least 18 years of age, (b) have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872, and (c) are a resident of India. If you are using the App on behalf of a business entity, you confirm you have the authority to bind that entity to these Terms. If you do not agree to these Terms, please do not access or use the App.

1. Services
The App provides Users with tools to: (i) maintain a digital personal expense tracker; (ii) maintain a business ledger recording credit, debit, and running-balance entries with customers and vendors; and (iii) create, send, and manage bills and invoices ("Services"). The Company may add, modify, or introduce new features under the Services from time to time.
2. Onboarding & Account Registration
- To use the Services, you must create an account ("Profile") using your mobile number, verified via a one-time password (OTP) sent by SMS. You will enter this OTP manually in the App; the App does not read or access SMS messages on your device.
- You may be asked to provide additional details such as your name, email address, and business name to complete your Profile.
- You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Profile. You agree to notify us immediately at support@hisaabsahi.com if you suspect any unauthorized access to your account.
- You warrant that all information provided to create and maintain your Profile is accurate, current, and complete, and you agree to promptly update it if it changes.
3. Ledger, Expense & Invoice Information
- You may create, upload, or record entries relating to your personal expenses, or transactions with your customers and vendors, including amounts, descriptions, dates, and attached bill/receipt images ("Transaction Information").
- Where you record Transaction Information relating to an identifiable third party (such as a customer or vendor whose name, phone number, or payment details you add to a ledger or invoice), you are solely responsible for obtaining that person's consent to have their information recorded and, where applicable, shared with them (e.g., via an invoice or payment reminder) through the App. The Company assumes such consent has been obtained whenever a User inputs a third party's details.
- Invoices or payment reminders generated through the App may be shared by you with your customers via SMS, WhatsApp, email, or other means available within the App. The Company is not a party to the underlying transaction between you and your customer and bears no responsibility for its performance.
4. Third-Party Services
The Services rely on and integrate the following third-party providers to function:
- Firebase (Google): backend infrastructure, cloud sync/backup, and crash/usage analytics
- Cloudinary: cloud storage and delivery of uploaded bill, receipt, and invoice images
- Razorpay: payment processing for subscriptions or premium features
- MSG91: delivery of OTP SMS messages for account verification
These third-party services are governed by their own terms and privacy policies. The Company makes no representations or warranties regarding, and expressly disclaims liability for, the accuracy, availability, or performance of any Third-Party Service. Your use of any Third-Party Service functionality within the App is at your own risk. You must never share your Razorpay payment credentials, UPI PIN, or OTP with anyone, including anyone claiming to represent the Company — we will never ask for these details over call, SMS, or email.
5. User Responsibilities & Prohibited Use
You represent and warrant that all information you provide through the Services is true, accurate, and not misleading, and you accept full responsibility for the consequences of using inaccurate, incomplete, or fraudulent data. You agree that you shall NOT use the Services to:
- Violate any applicable Indian law, including tax, GST, or anti-money laundering laws (including the Prevention of Money Laundering Act, 2002);
- Record, generate, or send fraudulent, fictitious, or misleading invoices, bills, or ledger entries;
- Infringe any third party's intellectual property, privacy, or other legal rights;
- Upload viruses, malware, or any code designed to disrupt the App or its infrastructure;
- Use any automated means (bots, scrapers) to access or extract data from the App;
- Post or transmit content that is unlawful, harassing, defamatory, obscene, or otherwise objectionable;
- Use the Services in connection with the sale or promotion of any unlawful, counterfeit, or regulated goods or services (including narcotics or unlicensed financial products).
We reserve the right to investigate and take appropriate action, including suspension or termination of your account, against anyone who violates this Section.
6. Subscription, Payments & Refunds
- The App may offer free and paid (premium/subscription) features. All payments for paid features are processed securely through Razorpay.
- All payments made for subscriptions or premium features are non-refundable, except where required by applicable law. Please review your plan carefully before purchasing.
- We are not liable for payment failures, delays, or disputes arising from Razorpay's systems, your bank, or your chosen payment method — such issues should be directed to the relevant payment provider or bank in the first instance.
- We reserve the right to change subscription pricing, with reasonable prior notice to existing subscribers.
7. Data Ownership, License & Consent to Use Data
- You retain ownership of all Transaction Information, ledger entries, invoices, and other content you create or upload ("User Content"). By using the App, you grant the Company a limited, non-exclusive, royalty-free license to store, process, back up, and display your User Content solely to provide, maintain, and improve the Services.
- You agree that the Company, and any third-party service providers it engages, may collect and use your account information, Transaction Information (in aggregated/anonymized form), and technical/usage data in accordance with our Privacy Policy, including for analytics, product improvement, and fraud prevention.
- Subject to applicable law, the Company may be required to disclose data relating to Users to law enforcement, regulatory, or government authorities in connection with legal proceedings, and you agree that the Company may do so without further notice to you where legally compelled.
8. Record-Keeping
While the Company uses commercially reasonable efforts to back up your data, you are solely responsible for independently maintaining your own copies of critical financial, ledger, and invoice records — particularly where such records are required for statutory, tax, or audit purposes under Indian law. The Company shall not be liable for any loss, penalty, or consequence arising from your failure to independently retain such records.
9. Intellectual Property
All rights, title, and interest in the App, including the "HisaabSahi" name, logo, design, source code, and all related intellectual property, are owned by the Company. Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal or business record-keeping purposes. You may not copy, modify, reverse-engineer, distribute, or create derivative works from the App without our prior written consent.
10. No Financial, Tax, or Legal Advice; Accuracy of Records
The App is a record-keeping and management tool only. Any totals, summaries, reports, or calculations generated by the App are based entirely on data you enter and are provided for convenience only; we do not verify or guarantee their accuracy or completeness. You are solely responsible for the accuracy of your ledger entries and invoices, for complying with applicable tax, GST, and business regulations, and for resolving any disputes with your own customers, vendors, or business partners. The Company shall not be liable for any tax notices, penalties, audit issues, or third-party disputes arising from data you have recorded, miscalculated, or mismanaged using the App. We strongly recommend consulting a qualified chartered accountant, tax professional, or legal advisor for decisions with financial or legal consequences.
11. Service Availability, Modifications & Force Majeure
- We may modify, update, suspend, or discontinue any feature of the App, in whole or part, at any time, with or without notice, including to comply with changes required by the Google Play Store.
- The Company shall not be liable for service interruptions, delays, or failures caused by outages or policy changes at our third-party providers, or by circumstances beyond our reasonable control ("Force Majeure"), including natural disasters, internet or network failures, government action, or acts of war.
- We do not guarantee uninterrupted cloud sync or backup; you should periodically export and independently back up critical data.
12. Beta & Experimental Features
We may release beta, trial, or experimental features from time to time. These are provided "as is," may be unstable or contain bugs, and may be modified or withdrawn without notice. Use of such features is entirely at your own risk.
13. Disclaimer of Warranties
The App and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, secure, or free of data loss. The Company is not a financial institution, bank, payment aggregator, or tax authority, and does not provide any financial product. Use of the Services is at your sole risk.
14. Limitation of Liability
To the maximum extent permitted under applicable Indian law:
- The Company, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of data, profits, or business opportunity, arising from your use of or inability to use the App — even if advised of the possibility of such damages.
- The Company shall not be liable for loss or damage arising from: (a) errors or inaccuracies in data you have entered; (b) unauthorized account access resulting from your failure to safeguard your credentials or device; (c) failures or errors caused by Third-Party Services (Firebase, Cloudinary, Razorpay, MSG91, telecom networks, or Google Play Services); or (d) any decision made by you or a third party based on App-generated information.
- Our total cumulative liability for any and all claims arising from or related to these Terms or your use of the App shall not exceed the total amount you paid to us in the 12 months preceding the claim. If you have not made any payment to us (i.e., you use the App under a free plan), our total liability to you shall be nil, to the maximum extent permitted by applicable law.
15. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or connected with: (a) your violation of these Terms or any applicable law; (b) your misuse of the App, including entering false, fraudulent, or misleading records; (c) any dispute between you and a third party (including customers, vendors, or employees) arising from ledger entries or invoices created using the App; (d) your infringement of any third party's rights, including uploading another individual's personal data without consent; and (e) any tax or regulatory non-compliance arising from your business use of the App. This obligation survives termination of your account and these Terms.
16. Fees
The Company reserves the right to introduce or revise fees for premium features or Services at any time, with reasonable notice. Continued use of a paid feature after a fee change takes effect constitutes acceptance of the revised fee.
17. Suspension & Termination
- We may suspend or terminate your access to the App, with or without notice, if you violate these Terms, engage in fraudulent activity, or misuse the App.
- You may terminate your account at any time via in-app deletion (Settings → Account → Delete Account) or through our web deletion request page.
- Upon termination, your right to use the App ceases immediately. Clauses that by their nature are intended to survive termination (including Sections 8, 10, 14, and 15) shall continue to apply.
18. Changes to the Terms
We may revise these Terms from time to time. Material changes will be communicated via in-app notification or email, and will take effect as stated in the notice. Continued use of the App after such changes take effect constitutes your acceptance of the revised Terms; if you do not agree, you must stop using the App.
19. Miscellaneous
- Severability: If any provision of these Terms is found invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions shall continue in full force.
- No Waiver: Our failure to enforce any right or provision shall not be considered a waiver of that right, unless made in writing by an authorized representative of the Company.
- Entire Agreement: These Terms, together with our Privacy Policy and any other notices we publish, constitute the entire agreement between you and the Company regarding the App.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. The Company may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.
- No Third-Party Rights: No third party shall have any right to enforce any term of these Terms.
- Notices: All formal notices to the Company under these Terms should be sent to support@hisaabsahi.com.
20. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the App, both parties agree to first attempt to resolve the matter amicably through good-faith negotiation by raising the issue in writing to our support email. If the dispute is not resolved within 30 days of such notice, either party may refer the dispute to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed mutually by both parties, seated at Gautam Buddha Nagar, Uttar Pradesh, with proceedings conducted in English. Each party shall bear its own costs of arbitration. This clause does not prevent either party from seeking urgent injunctive relief from a competent court where necessary.
21. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Subject to Section 20 (Dispute Resolution), the courts at Gautam Buddha Nagar (Greater Noida), Uttar Pradesh shall have exclusive jurisdiction over any matters arising out of or in connection with these Terms.
